ACCEPTANCE OF TERMS

By accessing and using the website of REFORGIT LLC ("Company," "we," "us," or "our") and engaging with our services, you ("Client," "you," or "your") agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, please do not use our services.

These Terms constitute the entire agreement between you and REFORGIT LLC regarding the use of our website and services, except where separate service agreements have been executed.

SERVICE DESCRIPTION

REFORGIT LLC provides:

Strategic Business Consulting: Business evaluation, competitive analysis, transformation roadmaps, process optimization, organizational change management, and digitalization strategy development
Custom Software Development: CRM platforms, automation systems, content management systems, mobile applications, payment processing systems, business intelligence solutions, and system integration services
Business Transformation Services: End-to-end consulting and technical execution combining strategic expertise with implementation

All services are described on our website and further detailed in individual service agreements.

ELIGIBILITY AND ACCOUNT REQUIREMENTS

You represent and warrant that:

You are at least 18 years of age and have the legal capacity to enter into contracts
You are authorized to represent the business entity engaging our services
You will provide accurate, complete, and truthful information
Your use of our services complies with all applicable laws and regulations in your jurisdiction
You are not operating from or on behalf of any entity subject to international sanctions

We reserve the right to verify your identity and business information through standard due diligence procedures.

USER RESPONSIBILITIES

You agree to:

Provide accurate and complete information for service delivery
Protect the confidentiality of any access credentials or authentication information
Notify us immediately of unauthorized access to your account
Use our services only for lawful purposes and in accordance with these Terms
Not engage in activity that interferes with our infrastructure or services
Comply with all applicable international, national, and local laws and regulations
Not misuse our services for fraud, money laundering, sanctions violations, or illegal activities

You are solely responsible for your use of our services and any content you provide.

INTELLECTUAL PROPERTY RIGHTS

Pre-Existing Property

Each party retains all intellectual property rights to materials, methodologies, tools, and assets that existed prior to engagement. REFORGIT LLC retains all rights to our pre-existing consulting frameworks, software tools, and methodologies.

Deliverables and Custom Development

Custom software, reports, strategies, and other deliverables specifically created for you during our engagement become your property upon full payment. We grant you a non-exclusive license to use deliverables for your internal business purposes.

Feedback and Suggestions

Any feedback, suggestions, or ideas you provide regarding our services may be used by REFORGIT LLC without obligation or compensation.

Restrictions

You may not:

Reverse engineer, decompile, or attempt to derive the source code of software solutions
Redistribute, resell, or license our services to third parties without authorization
Remove or alter any intellectual property notices or proprietary markings
Use our services to create competing offerings

CONFIDENTIALITY AND DATA PROTECTION

Confidential Information

During our engagement, each party may access confidential information. We agree to:

Maintain strict confidentiality of your business data and proprietary information
Use your information solely for service delivery purposes
Implement reasonable security measures to protect your data
Not disclose your information to third parties without consent, except as legally required

Security Measures

We implement industry-standard security protocols. However, no transmission over the internet is entirely secure. You acknowledge that data transmission involves inherent risks.

LIMITATION OF LIABILITY

No Consequential Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REFORGIT LLC SHALL NOT BE LIABLE FOR:

LOST PROFITS OR REVENUE
LOST DATA OR BUSINESS INTERRUPTION
INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
DIMINISHED GOODWILL OR REPUTATIONAL HARM

This applies even if REFORGIT LLC has been advised of the possibility of such damages.

Liability Cap

Except for breaches of confidentiality or intellectual property infringement, REFORGIT LLC's total liability under these Terms shall not exceed the total fees paid by you in the 12 months preceding the claim or $10,000 USD, whichever is greater.

Exceptions

These limitations do not apply to:

Either party's indemnification obligations
Breaches of confidentiality
Intellectual property infringement
Gross negligence or willful misconduct
Liabilities that cannot be limited by applicable law

INDEMNIFICATION

You agree to indemnify, defend, and hold harmless REFORGIT LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

Your use of our services in violation of these Terms
Your violation of applicable laws
Your infringement of third-party intellectual property rights
Your content or information provided to us
Your breach of these Terms or any service agreement

We reserve the right to control the defense of indemnified claims.

TERM AND TERMINATION

Term

These Terms remain in effect for as long as you use our services, unless terminated earlier.

Termination by Client

You may terminate service engagement by providing written notice as specified in your service agreement.

Termination by REFORGIT LLC

We may terminate or suspend services:

For non-payment (after 30 days notice)
For breach of these Terms (after reasonable cure period)
For suspected illegal activity or sanctions violations (immediately)
For convenience with 30 days written notice
If your business ceases operations
Confidentiality and IP provisions survive termination

MODIFICATION OF TERMS

REFORGIT LLC may modify these Terms at any time. Material changes will be posted on our website with notice of the effective date. Continued use of our services after changes constitutes acceptance of modified Terms. Service agreements between us will continue under their existing terms unless amended in writing.

WEBSITE AND SERVICE AVAILABILITY

Availability

We provide our website and services "as available" without guarantee of continuous operation. We may perform maintenance, updates, or improvements that temporarily interrupt service.

Access Restrictions

We reserve the right to:

Restrict or deny access for policy violations
Remove prohibited content
Suspend accounts for suspicious activity
Implement rate limiting or technical restrictions

Money laundering, terrorist financing, or sanctions evasion
Fraud, misrepresentation, or deception
Unauthorized access to systems or networks
Distribution of malware or harmful code
Harassment, threats, or abusive conduct

Gambling or betting operations (unless properly licensed and compliant)
Circumventing security measures or access controls
Unfair competition or anti-competitive practices

Violation of these provisions may result in immediate termination and legal action.

ENTIRE AGREEMENT

These Terms, together with any service agreements and privacy policies, constitute the entire agreement between you and REFORGIT LLC regarding our services. Any previous communications, proposals, or agreements are superseded by these Terms.

If any provision is found invalid or unenforceable, the remaining provisions shall continue in effect to the maximum extent permitted by law.

SEVERABILITY AND WAIVER

If any provision of these Terms is found unenforceable, the provision shall be reformed to the minimum extent necessary to make it enforceable, or if that's not possible, severed while keeping the remainder of the Terms intact.

No waiver of any provision or breach shall be effective unless in writing and signed by authorized representatives of both parties. Failure to enforce any right does not constitute waiver of that right.
